We represent financial institutions
in securities and financing activities, including public and private
issuance of equity securities, public debt and trust preferred securities
offerings and venture capital investments. Our attorneys prepare offering
materials and registration statements, and advise clients on compliance
with state and federal securities laws, NASD regulations and the rules of
the various stock exchanges. This work also involves substantial
experience in creating private investment partnerships, limited liability
companies, fund-of-funds and private investment companies.
