Tax practice area members have broad experience in tax planning for business organizations and tax-exempt organizations. Such experience covers federal, state, and local income taxes, employment taxes, property taxes, sales and use taxes, and excise taxes. Tax planning activities include advising on United States and foreign business operations, financings, acquisitions, dispositions, divisions, liquidations, and structuring single-investor and leveraged leases of real and personal property. Our clients include closely-held businesses, publicly-traded corporations, individuals, trusts, estates, tax-exempt organizations, pass-through entities (such as partnerships, limited liability companies and S corporations), and clients subject to specialized tax provisions, such as financial institutions, housing cooperatives, regulated investment companies and controlled foreign corporations.

Our attorneys also represent clients in tax-advantaged transactions, such as low-income housing and historic rehabilitation tax credit investments and tax-exempt bond financing. In addition, we handle federal, state, and local tax controversies, both civil and criminal, from examination through final judicial appeal. Although the practice area usually represents companies and individuals seeking assistance with their own tax liabilities, in the tax-collection context, our clients frequently are creditors seeking priority over federal or other tax claims.

In addition to special tax skills, many of the attorneys in the tax practice area have practiced non-tax business law in areas such as lending, leasing, business acquisitions and dispositions, franchising, debt and equity recapitalizations, real estate, joint ventures and partnerships.

It is our practice to understand first the business objectives of the proposed transaction or, in the case of dispute work, the business context in which the transaction at issue arose. An evaluation of the relative importance of a given tax issue, in the context of the business objective or activity, is vital to providing the type of service that most effectively meets our client's needs, timetable and budget.
