Ean is a versatile paralegal who helps corporate clients comply with federal regulatory schemes, pursue domestic and international transactions, and secure patent protections in the United States and abroad.
Ean has extensive experience working on compliance matters with a variety of federal regulatory agencies, including the Department of Transportation, Federal Maritime Commission, Surface Transportation Board, Department of Commerce regarding Export Administration Regulations (EAR), Department of State regarding International Traffic in Arms Regulations (ITAR) and Office of Foreign Assets Control (OFAC) regarding export controls governing sanctions. He also handles marine-related filings domestically with the U.S. Coast Guard and internationally with the various international registries.
For the Corporate and Securities group, Ean works with entrepreneurs, start-ups and middle-market companies on formation and structuring options. He drafts tailored operating agreements, articles of incorporation, bylaws and corporate resolutions depending on a client's corporate governance strategy. He prepares annual reports, coordinates compliance reporting, and monitors relevant state and federal corporate regulations. Ean also ensures private placements are compliant with SEC regulations.
Ean assists attorneys with all aspects of domestic and international transaction closings, including those relating to asset sales and acquisitions, leases and loans, and corporate mergers and acquisitions. He is also experienced in preparing financial statements under the Uniform Commercial Code and reviewing due diligence materials in connection with corporate acquisitions.
Ean acts as the primary contact with foreign associates on the prosecution of foreign patent applications and ensures compliance with respective country patent office requirements for firm clients. He also drafts and files patent documentation with the U.S. Patent and Trademark Office.
