In the Corporate and Securities practice area, Elizabeth offers invaluable experience and knowledge to the firm's clients. Elizabeth prepares organizational documents and foreign qualifications, mergers and dissolution documents, assumed name adoptions/cancellations, as well as amendments to charter documents.
She has experience in drafting operating agreements, corporate by-laws, stock certificates, organizational meeting minutes and shareholder agreements. Her strong corporate experience also includes drafting minutes for annual and special meetings of shareholders/board of directors, as well as members/managers. Elizabeth handles all corporate governance aspects for entities which includes drafting annual reports and annual meeting minutes to maintain entities' active standing. On behalf of clients, she obtains multi-state and municipal business licenses, drafts IRS filings, including non-profit organizations exempt under IRS section 501(c).
Elizabeth has a depth of experience with Secured Lending legal services, including assisting firm clients in due diligence matters, which include preparing/filing of UCC Financing Statements, amendments and termination filings in various jurisdictions. In addition, she orders and summarizes lien searches and lien search results.
In the Real Estate practice area, Elizabeth handles all paralegal aspects of residential and commercial real estate transactions, including review of real estate contracts, title commitments, underlying title documents, plats of survey and subdivision. She is instrumental in drafting and reviewing closing documents, tracking time-sensitive contingency deadline dates and has experience in attending real estate closings.
