Barry practices in Thompson Coburn’s Business/Transactional area. His practice includes mergers and acquisitions, securities-related transactions, and general corporate work, often with international aspects. Barry guides clients through the myriad of issues of purchasing and selling a business, including organizing due diligence reviews for sellers and buyers, structuring efficient sales and acquisition models, interacting with various banking, finance, and accounting persons, and drafting and negotiating of term sheets, letters of intent and definitive documents.
Barry assists clients in a wide array of financing mechanisms for private and public companies, including IPOs, venture capital financings, private equity recapitalizations and financings, private placements, and management equity incentives for private and public companies.
Barry regularly creates sophisticated joint ventures, drafts and advises on employment and equity agreements for executives, and negotiates and counsels on outsourcing, supply and licensing agreements.
