Michael Hawthorne has a diverse transactional practice focusing on the corporate and securities needs of private and public businesses—from startups to multi-billion-dollar enterprises—throughout the United States in the telecommunications, natural resources, health care, energy, restaurant and technology industries. Michael has successfully helped many of his clients secure billions of dollars through capital raising (e.g., public and private offerings) and private equity funding sources. He also regularly represents private investment firms seeking investment opportunities. On either side of these transactions, he taps his extensive knowledge of complex securities and financial instruments to discover, document and close deals that achieve, and frequently exceed, his client's objectives.
Michael also advises startups and companies readying for a public or private offering, ensuring these companies are structured properly in all stages of their development. He has represented seed and venture capital investment funds worth more than $6 billion.
The current president of the International Association of Family-Held Enterprises, Michael has significant experience advising family-owned businesses on critical issues of succession planning, and trusts and estate preparation. He also has significant experience advising Boards of Directors and clients on various corporate and transactional matters.
