Jonathan assists sponsors of, and investors in, private pools of capital in achieving their business and financial objectives through an understanding of their economic priorities, legal situations and regulatory circumstances.
Primarily representing private equity funds, hedge funds and investors in such vehicles, Jonathan works predominantly within the private capital markets. Because of the nature of these clients and their activities, his approach is a highly commercial one, with properly understanding and capturing the economics of a deal or an investment opportunity, his first consideration when providing legal analysis and advice. Over the course of his career, Jonathan has closed dozens of deals in the private equity space with transaction values aggregating to billions of dollars. He has led negotiations on behalf of both GPs and LPs with respect to the terms of investments of several billion dollars in funds with a variety of strategies across a broad array of asset classes and sectors.
In addition to his private capital proficiency, Jonathan has substantial experience in advising on complex and cross-border mergers and acquisitions, as well as providing advice and guidance to boards of directors in a transactional or shareholder activist context. This experience encompasses the negotiation of complex contingent compensation arrangements, advising boards on their fiduciary responsibilities in the adoption of poison pills and other structural defenses, as well as the pricing and implementation of rights offerings and the procuring and use of fairness opinions.
Jonathan holds an MBA and has experience as both an investment banking and capital markets professional. He maintains deep relationships throughout the business and finance communities and is exceptionally in tune with the commercial climate in which his clients operate. With a perspective developed through time spent at some of the nation's largest law firms, one of the world's leading investment banks, and at an international private equity fund, Jonathan's advice and advocacy for clients reflects a holistic and comprehensive understanding of a transaction, and an awareness of the fundamental considerations that drive the success of a deal.
Represented a sovereign wealth fund in a $500 million investment in a real estate/infrastructure fund; this investment was one of several across a series of vehicles with the same sponsor, totaling investments in excess of $2 billion
Represented a real estate fund sponsor in a $300 million seed investment in a new vehicle sponsored by a preeminent New York private equity sponsor
Represented a major university endowment across a series of more than a dozen investments, including real estate funds, hedge funds and traditional private equity funds (individual transaction size ranged from $1.5 million to $50 million; aggregate value of transactions approximated $500 million)
Represented a real estate sponsor's "special situations" group across a series of a dozen investments/joint ventures, both domestically and internationally (individual transaction size ranged from $30 million to $250 million)
Represented a real estate sponsor in the structuring of the divestiture of an equity interest in a trophy property in Los Angeles that was the subject of ongoing litigation
Lead day-to-day attorney representing a member of the equity consortium in the proposed $45 billion LBO of a major telecommunications company
Represented bidding group for a Major League Baseball franchise (approximately $800 million)
Represented a private equity sponsor in a bid for private equity assets of Lehman Brothers
