Reporting Company Advice

Our experience providing ongoing regulatory compliance advice includes preparation of annual, quarterly, current and other periodic reports with the SEC; compliance with the requirements of self-regulatory organizations, including the New York Stock Exchange and The NASDAQ Global Select Market; preparation of proxy statements and information statements; executive compensation; insider trading prevention and the reporting of insider trades; interaction with the SEC staff; and corporate defense mechanisms and proxy contests.
  • We represented Insituform Technologies, Inc. in its $125 million offering of common stock in 2009 with Merrill Lynch as principal underwriter.
  • We represented Federal Signal Corporation in its $75 million offering of common stock in 2010 with Citi as principal underwriter.
  • We represented Zoltek Companies, Inc. in connection with a secondary offering of $155 million of its common stock in 2007 with Merrill Lynch as principal underwriter.
  • We represented Baldor Electric Company, a global manufacturer of industrial electric motors, in the financing of its $1.8 billion purchase of the Reliance Electric Company and Dodge Gear business of Rockwell Automation, Inc. The financing consisted of a combination of a public offering of common stock, the sale of $550 million in senior notes, and borrowings of $1 billion under the term loan portion of a senior secured credit facility.
  • We served as underwriter counsel to UBS Securities, LLC, Wachovia Securities and Stifel Nicolaus in connection with a $69 million public offering of common stock by The Empire District Electric Company.
  • We represented Essence Group Holdings Corporation (EGHC) in connection with a convertible preferred stock financing from its largest shareholder, JDlinx, LLC in 2009. In addition, we represented EGHC in connection with the offer to existing stockholders of an opportunity to participate in the financing round.
  • We represented Sylarus Technologies LLC, a producer of solar wafer technology, in a $17 million private equity transaction in 2008.
  • We served as counsel to Barry-Wehmiller Companies, Inc. in connection with the formation of Forsyth Capital Partners, LP, a private equity investment fund organized in 2009 to apply Barry-Wehmiller’s successful acquisition and management strategies to businesses outside of its historical areas of focus.
  • We represented the lead investor in the purchase of preferred stock and warrants, as well as related bridge financings, in the Merriman Curhan Ford Group, Inc., a financial services firm that invests in clean tech, consumer/Internet/media, health care, natural resources and technology.
