Barzin represents and advises public and private companies, private equity firms and hedge funds in connection with mergers and acquisitions, capital raising transactions, secured and unsecured financing arrangements, corporate reorganizations, derivative agreements and regulatory matters, along with a variety of clients in the cannabis industry.
Barzin's practice includes drafting and negotiating purchase agreements and other commercial contracts, advising companies with respect to entity selection, formation and governance, managing M&A due diligence and closing large, complex and innovative corporate transactions. Barzin is keenly interested in emerging technologies and greatly enjoys working with startups to tackle early-stage challenges, as well as provide counsel in fund raising and seed round funding. He is also an active member of the Firm's Blockchain group.
As a member of the Firm's Cannabis group, Barzin represents and advises cannabis investors, cultivators, distributors, manufacturers, retailers and ancillary businesses on a variety of legal issues including cannabis formation and governance, licensing and compliance, capital raising transactions, licensing agreements and real estate transactions.
Barzin earned his J.D. from the University of Southern California's Gould School of Law. Prior to law school, Barzin earned an M.Sc. from the London School of Economics and an MA from the University of Leipzig, Germany. He received his BA from the University of California, Santa Barbara.
