Michael represents and advises public and private companies, private equity firms and hedge funds in connection with mergers and acquisitions, capital raising transactions, secured and unsecured financing arrangements, corporate reorganizations, derivative agreements and regulatory matters, along with a variety of clients in the cannabis industry.
Michael's practice includes drafting and negotiating purchase agreements and other commercial contracts, advising companies with respect to entity selection, formation and governance, managing M&A due diligence and closing large, complex and innovative corporate transactions.
As an active member of the Firm's cannabis practice group, Michael advises cannabis investors, cultivators, distributors, manufacturers, retailers and ancillary businesses on a variety of legal issues including corporate formation and governance, licensing and compliance, capital raising transactions, licensing agreements and real estate transactions.
Michael has written numerous articles regarding the cannabis industry, which have been published in mainstream publications such as Law360 and the Los Angeles Daily Journal, participated as a guest speaker and panelist at several industry events and serves on the Executive Committee of the Beverly Hills Bar Association's Cannabis Committee. Through his extensive network of cannabis industry contacts, Michael helps his clients improve their business by facilitating introductions with potential business partners, advisors, financiers, suppliers and customers in the industry.
Michael earned his J.D. from New York University School of Law and his B.B.A. from the Stephen M. Ross School of Business at the University of Michigan.
