Nick Engel is a business lawyer who brings a comprehensive approach to solving clients’ tax problems and questions. He enjoys analyzing complex and ever-changing tax laws to find a tax-efficient path forward.

Nick has significant experience advising clients on the structure and tax issues of corporate acquisitions, dispositions, reorganizations, and spin-offs for domestic and cross-border deals. This includes designing tax strategies, drafting transaction documents, and negotiating agreements for public companies, closely held businesses, and private equity clients.

In addition, Nick regularly advises on the consequences of forming, operating, or transitioning out of business. That includes drafting formation and governing documents, maintaining compliance with federal, state, and local taxing authorities, and preparing for a tax-efficient exit or succession plan for the business.
Nick also advises non-profit clients on their qualifications for tax-exempt status.

Nick previously worked in the mergers and acquisitions group of a Big Four accounting firm, where he performed tax due diligence, structuring, and tax planning for buy-side and sell-side transactions. He started his career at a large international law firm in Milwaukee, Wisconsin.

Nick earned his law degree and his LL.M. in taxation from Washington University School of Law. During law school, he served as a student attorney for the Low Income Taxpayer Clinic, representing taxpayers in disputes with the IRS. He also interned with the IRS Office of Chief Counsel in Milwaukee, where he helped prepare cases for trial and appeared before the U.S. Tax Court.
