Ron has advised middle market clients on privately negotiated acquisitions and dispositions of all kinds of businesses for over 35 years.
Most of Ron's practice consists of advising buyers and sellers how best to achieve their desired outcomes. For buyers, this means establishing an efficient transaction structure, negotiating to mutually satisfactory deal terms that fulfill the buyer's price expectations, and overcoming obstacles that could jeopardize the success of the continuing enterprise. For sellers, it means holding the buyer to its offer terms, and achieving the best net economic outcome for the seller along with peace of mind that their next chapter will not be burdened by the last.
In the case of businesses that are under financial distress, Ron has assisted all kinds of stakeholders, including borrowers, creditors, liquidators and investors, in the successful completion of sale, reorganization and workout transactions. He also counsels closely held corporations in connection with their formation, financing and planning issues, and has experience in a broad range of corporate law topics, including commercial transactions, real estate, and trademark and copyright issues.
