Corporate & Securities Associate – Chicago, Dallas, Los Angeles, New York, St. Louis or Washington, D.C.

Thompson Coburn LLP, a leading AmLaw 200 law firm, is seeking attorneys with 3-5 years of experience in mergers and acquisitions, private equity and corporate finance, including due diligence, negotiating and drafting transaction agreements and closing transactions, as well as general corporate, ordinary course contracting and securities matters. Experience in corporate governance, SEC reporting and compliance (e.g., periodic reports, proxy statements, registration statements, etc.) is a plus. Experience with private equity and venture capital transactions is also a plus.

Candidates must have exceptional academic achievement, excellent analytical and writing skills, strong interpersonal skills, and the ability to function independently and within a team.

Finance Group

Banking & Commercial Finance Associate – Chicago, Dallas, Los Angeles, New York, St. Louis, or Washington, D.C.

Thompson Coburn is seeking an associate attorney to join our Banking & Commercial Finance group.  Candidates should have 2-5 years of experience in the drafting and negotiation of transactions for bank and alternative capital providers on both secured and unsecured financings.  Preference will be given to candidates for the New York office, but consideration will be given to candidates for other locations where the firm has offices including Chicago, Dallas, Los Angeles, St. Louis or Washington, DC. Ideal candidate will be able to draft and negotiate commercial finance transaction documents and understand the various diligence and customary ancillary and closing aspects of typical lending transactions, and further be able to work directly with sophisticated clients and other counsel.

Government/Development

Public Finance Associate – St. Louis

Thompson Coburn LLP is seeking an attorney with 2-3 years of experience to join our Public Finance practice group in our St. Louis, Missouri office. The candidate should have prior general corporate and/or real estate transactional experience. Prior experience working with state and local governments, underwriters and banks in connection with public finance transactions would be beneficial, but not necessary for the position. Candidates must demonstrate excellent organizational skills, strong written and oral communication skills, a keen attention to detail, and be able to handle multiple matters at one time. 

In this position you will work with partners, associates, legal assistants and clients in a very busy national public finance practice, involving a wide range of types of transactions and projects throughout the country, including:

  • Provide legal support for partners in all roles relevant to public finance including bond, underwriter's, disclosure and lender counsel, with a primary focus on tax-exempt bond financings for governmental issuers, qualified hospital and health facility operators, other qualified nonprofit issuers, and other issuers or beneficiaries of special district and other private activity bonds.
  • Research federal and state law, including the Internal Revenue Code, federal securities laws and local bond law.
  • Prepare transaction documents, including indentures, loan agreements and closing documents.
  • Prepare underwriting documents, including offering documents, purchase agreements and disclosure certificates.
  • Interact and communicate with client representatives and negotiate with opposing counsel.
  • Receive training opportunities with growing levels of responsibility.
  • Collaborate across practice groups and across offices.

Real Estate/Tax Credit/Commercial Finance Associate – Chicago, Dallas, Los Angeles, New York, St. Louis, or Washington, D.C.

Thompson Coburn is seeking an associate with 2-4 years of experience in commercial lending, real estate, and/or mergers and acquisitions to join its tax credit finance practice. Experience with tax-advantaged investments is preferred but not required. 

The practice is an active and diverse real estate and commercial finance practice with a focus on tax-credit subsidized equity and debt financings. Transactions are multi-faceted, often involving public/private partnerships with two or more sources of debt financings and multiple equity investors. The successful candidate will be an outgoing self-starter who can quickly take an active role in the documentation and closing of these transactions and will be expected to work closely with all transaction parties, including banks and other financial institutions, private equity firms, state and local governments, and their respective counsel.

Estate Planning Attorney – Chicago

Thompson Coburn LLP is seeking an associate attorney with 3-5 years of estate planning experience to join its Private Client practice group in the Chicago office. Ideal candidates will have experience with sophisticated estate planning matters including gift, estate, and related income tax planning, estate and trust administration, charitable planning and family business succession planning. Experience preparing gift, estate and/or fiduciary income tax returns is a plus. 

The position requires strong academic credentials and excellent analytical and writing skills. In addition, candidates must have the ability to function both independently and within a team. The ability to establish, develop and maintain long-term relationships enabling client development and networking is essential.

This position offers a hybrid in-office/remote working arrangement.

Tax Associate – Chicago or St. Louis

Thompson Coburn LLP is seeking a tax associate for its Chicago or St. Louis office with at least two years of experience.  A candidate should have a strong legal skill set and exposure to subject matter areas described below. For clarity, we do not expect that the candidate will have experience in all the areas listed.

  • Subject Matter Expertise:
    • Experience representing acquirers and sellers of businesses in taxable and tax-free mergers and acquisitions, including reorganizations, recapitalizations and private equity investments.
    • Experience representing venture capital and later stage investors and their investees with respect to structuring the issuances, exchanges and redemptions of debt, investment units, preferred stock and common stock and corresponding pass-through equity interests.
    • Familiarity with partnership tax and partnership-related transactions, including allocations, use of multiple classes of interests, redemptions, spin-offs and sponsor compensation, as well as the preparation of disclosure materials.
    • Familiarity with financial instruments, such as swaps, derivatives, debt-equity units, debt and equity exchanges, and debt modifications.
    • Knowledge of a variety of real estate transactions, including deferral techniques.
    • General knowledge of federal income tax aspects of international in-bound and out-bound transactions and the application of specialized foreign tax provisions.
    • Familiarity with federal tax controversy matters.
  • Background knowledge should include publicly- and closely-held corporations, partnerships, foreign and domestic financial and strategic investors (e.g., hedge funds and private equity funds and sponsors), large tax-exempt institutions and high net worth individuals or a combination or subset of these types of organization clients.
  • Large firm experience, an LL.M. in taxation and participation in the ABA Section of Taxation would be a strong plus.
  • Ability to work as part of a team is essential.
