Business Litigation Associate – Chicago

Thompson Coburn is seeking an associate with 3-5 years of commercial litigation experience. The ideal candidate will have experience working independently with written discovery and motion practice. This position will offer the opportunity to work with a diverse team of experienced litigators.

Candidates must have exceptional academic achievement, excellent writing skills, strong interpersonal skills, and the ability to function independently and within a team.

Litigation Associate – Los Angeles

Thompson Coburn is seeking an associate with 2-5 years of experience to join its business litigation section in the Los Angeles office. We are seeking candidates with exceptional research, analytical, and writing skills in addition to a detail-oriented mindset.  

Candidates must have strong academic achievement and the ability to function both independently and within a team environment.  Prior litigation experience in state and/or federal court in California is a requirement.

Corporate & Securities Associate – Los Angeles

Thompson Coburn is seeking an associate with 3-5 years of general corporate, securities and transactional experience. Candidates must have experience in M&A, entity formation and governance, private placements of securities including venture capital transactions, and negotiation of employment and incentive equity documentation. Experience with start up companies, technology licensing and founder documentation would be helpful. Ability to work directly with sophisticated clients and other counsel, as well as across firm offices.

Energy Practice Group

Energy Associate – Washington, D.C.

The Washington, D.C. office of Thompson Coburn LLP is seeking to welcome a junior- to mid-level associate into its dynamic Energy Group. The candidate must be independent, a self-starter, energetic and possess strong writing and interpersonal skills. Experience before FERC and/or knowledge of electric or natural gas pipeline regulation is required. A candidate that is familiar with FERC’s pro forma open access transmission tariff, standard generator interconnection procedures and agreements, and formula rates is preferred. Administrative litigation experience is a plus.

Energy Group Senior Associate/Counsel – Washington, D.C.

The Washington, D.C. office of Thompson Coburn LLP is seeking to welcome a senior associate or counsel into its dynamic Energy Group. The candidate must be independent, a self-starter, energetic and possess strong writing and interpersonal skills. Experience before FERC and knowledge of electric regulation is required. In particular, a candidate must be familiar with FERC’s pro forma open access transmission tariff, standard generator interconnection procedures and agreements, and formula rates. The ideal candidate also will be capable of taking on substantial roles in and responsibility for project management and be comfortable with client interaction. Experience as lead counsel on one or more FERC matters is preferred. Administrative litigation and appellate court experience is a plus.

Commercial Finance Associate – Dallas or Los Angeles

Candidates should have 2-5 years of experience in the drafting and negotiation of transactions for banks, direct lenders and private funds including loan, syndication and agency documentation.  Ideal candidate will be able to draft and negotiate commercial finance documents and understand the various diligence and customary ancillary and closing aspects of typical secured lending transactions under the UCC, and further be able to work directly with sophisticated clients and other counsel. Experience with special purpose vehicles, equity instruments and alternative asset classes (technology, cryptocurrency and fintech) would be especially helpful.

Estate Planning Attorney – Chicago

Thompson Coburn LLP is seeking an associate attorney with 3-5 years of estate planning experience to join its Private Client practice group in the Chicago office. Ideal candidates will have experience with sophisticated estate planning matters including gift, estate, and related income tax planning, estate and trust administration, charitable planning and family business succession planning. Experience preparing gift, estate and/or fiduciary income tax returns is a plus. 

The position requires strong academic credentials and excellent analytical and writing skills. In addition, candidates must have the ability to function both independently and within a team. The ability to establish, develop and maintain long-term relationships enabling client development and networking is essential.

Tax Associate – Chicago or St. Louis

Thompson Coburn LLP is seeking a tax associate for its Chicago or St. Louis office with at least two years of experience.  A candidate should have a strong legal skill set and exposure to subject matter areas described below. For clarity, we do not expect that the candidate will have experience in all the areas listed.

  • Subject Matter Expertise:
    • Experience representing acquirers and sellers of businesses in taxable and tax-free mergers and acquisitions, including reorganizations, recapitalizations and private equity investments.
    • Experience representing venture capital and later stage investors and their investees with respect to structuring the issuances, exchanges and redemptions of debt, investment units, preferred stock and common stock and corresponding pass-through equity interests.
    • Familiarity with partnership tax and partnership-related transactions, including allocations, use of multiple classes of interests, redemptions, spin-offs and sponsor compensation, as well as the preparation of disclosure materials.
    • Familiarity with financial instruments, such as swaps, derivatives, debt-equity units, debt and equity exchanges, and debt modifications.
    • Knowledge of a variety of real estate transactions, including deferral techniques.
    • General knowledge of federal income tax aspects of international in-bound and out-bound transactions and the application of specialized foreign tax provisions.
    • Familiarity with federal tax controversy matters.
  • Background knowledge should include publicly- and closely-held corporations, partnerships, foreign and domestic financial and strategic investors (e.g., hedge funds and private equity funds and sponsors), large tax-exempt institutions and high net worth individuals or a combination or subset of these types of organization clients.
  • Large firm experience, an LL.M. in taxation and participation in the ABA Section of Taxation would be a strong plus.
  • Ability to work as part of a team is essential.

Thompson Coburn is seeking an International Trade Associate with 2-4 years of experience.  The ideal candidate will have experience in international trade regulatory law. Preferred candidates will have experience in U.S. customs law.  Experience in export controls and economic sanctions law will further distinguish the candidate. Candidates must have exceptional academic achievement, excellent organizational, analytical and writing skills, strong interpersonal skills, and the ability to function independently and within a team.
