Part-Time Corporate Attorney – Chicago, Dallas, Los Angeles, St. Louis or Washington, D.C.

Thompson Coburn is seeking a part-time corporate attorney with 3 plus years of transactional experience to support its Chicago office, working 10-20 hours/week on a flexible, as-needed basis. As this will be primarily a remote position, we will also consider candidates in St. Louis, Dallas, Washington D.C. or Los Angeles. Candidates must have experience drafting commercial agreements, as well as general corporate, ordinary course contracting and securities matters. 

Candidates must have exceptional academic achievement, excellent analytical and writing skills, strong interpersonal skills and the ability to function both independently and within a team. Candidates must be licensed to practice in Illinois.

Real Estate/Tax Credit/Commercial Finance Associate – Chicago, Dallas, Los Angeles, New York, St. Louis, or Washington, D.C.

Thompson Coburn is seeking an associate with 2-4 years of experience in commercial lending, real estate, and/or mergers and acquisitions to join its tax credit finance practice. Experience with tax-advantaged investments is preferred but not required. 

The practice is an active and diverse real estate and commercial finance practice with a focus on tax-credit subsidized equity and debt financings. Transactions are multi-faceted, often involving public/private partnerships with two or more sources of debt financings and multiple equity investors. The successful candidate will be an outgoing self-starter who can quickly take an active role in the documentation and closing of these transactions and will be expected to work closely with all transaction parties, including banks and other financial institutions, private equity firms, state and local governments, and their respective counsel.

Higher Education Associate – Chicago, St. Louis or Washington, D.C.

Thompson Coburn is seeking an attorney possessing 3-5 years’ experience working with institutions of higher education to join one of our Chicago, Washington D.C. or St. Louis offices.  This position counsels and represents higher education clients on a wide variety of legal matters including policy development, legal and regulatory compliance, and drafting and negotiating agreements.

Candidates must have exceptional academic achievement, excellent analytical and writing skills, strong interpersonal skills, and demonstrated ability to function independently and in a collaborative setting.  Preference will be given to candidates with exposure to the Title IV federal financial aid programs or complex substantive changes involving postsecondary institutions (e.g., mergers, acquisitions, consolidations).

Tax Associate – Chicago or St. Louis

Thompson Coburn LLP is seeking a tax associate for its Chicago or St. Louis office with at least two years of experience.  A candidate should have a strong legal skill set and exposure to subject matter areas described below. For clarity, we do not expect that the candidate will have experience in all the areas listed.

  • Subject Matter Expertise:
    • Experience representing acquirers and sellers of businesses in taxable and tax-free mergers and acquisitions, including reorganizations, recapitalizations and private equity investments.
    • Experience representing venture capital and later stage investors and their investees with respect to structuring the issuances, exchanges and redemptions of debt, investment units, preferred stock and common stock and corresponding pass-through equity interests.
    • Familiarity with partnership tax and partnership-related transactions, including allocations, use of multiple classes of interests, redemptions, spin-offs and sponsor compensation, as well as the preparation of disclosure materials.
    • Familiarity with financial instruments, such as swaps, derivatives, debt-equity units, debt and equity exchanges, and debt modifications.
    • Knowledge of a variety of real estate transactions, including deferral techniques.
    • General knowledge of federal income tax aspects of international in-bound and out-bound transactions and the application of specialized foreign tax provisions.
    • Familiarity with federal tax controversy matters.
  • Background knowledge should include publicly- and closely-held corporations, partnerships, foreign and domestic financial and strategic investors (e.g., hedge funds and private equity funds and sponsors), large tax-exempt institutions and high net worth individuals or a combination or subset of these types of organization clients.
  • Large firm experience, an LL.M. in taxation and participation in the ABA Section of Taxation would be a strong plus.
  • Ability to work as part of a team is essential.

Health Care Associate – Chicago

Thompson Coburn LLP’s corporate health care practice area is seeking a mid-level Associate to join its Chicago office. The position offers the opportunity to work on a wide variety of corporate transactions and regulatory matters for health care organizations, including health care systems, hospitals, health insurance companies, long term care providers, physician practices and other health care-related businesses. Due to the public health emergency, associate positions may expect a remote working arrangement on a short-term basis.

Ideal candidates will have 4-6 years of experience managing regulatory and corporate transactional matters in the health care industry and an in-depth understanding of Fraud and Abuse, Stark, Medicare reimbursement, hospital-physician relationships, provider-payor relationships and HIPAA are required. Litigation/Bankruptcy Associate – Dallas

Thompson Coburn is seeking an associate with 2-3 years of bankruptcy and bankruptcy litigation experience. We are seeking candidates with exceptional research, analytical, and writing skills in addition to a detail-oriented mindset. Candidates must have strong academic achievement and the ability to function both independently and within a team environment. Preference will be given to candidates with general litigation experience. An understanding of and educational background in business, accounting or finance is a plus. Corporate & Securities Associate – Los Angeles

Thompson Coburn LLP, a leading AmLaw 200 law firm, is seeking attorneys with 2-6 years of experience in mergers and acquisitions, private equity and corporate finance, including due diligence, negotiating and drafting transaction agreements and closing transactions, as well as general corporate, ordinary course contracting and securities matters. Experience in corporate governance, SEC reporting and compliance (e.g., periodic reports, proxy statements, registration statements, etc.) is a plus. Experience with private equity and venture capital transactions is also a plus.
