Thompson Coburn is pleased to announce that St. Louis M&A and tax attorney Mariquita Barbieri has joined the Firm as a partner. Mariquita was previously a shareholder with Carmody MacDonald and served as the co-chair of its M&A practice group.
Mariquita is an experienced and results-driven mergers and acquisitions and tax attorney who negotiates and closes complex transactions. She holds a Master of Laws in Taxation and offers clients essential advice on the tax implications of corporate transactions. A former corporate counsel herself, Mariquita frequently serves as outside general counsel to clients, providing practical guidance on a full range of legal, business and compliance matters.
“Mariquita is among the strongest and most well-rounded deal attorneys we’ve welcomed to Thompson Coburn,” said Corporate and Securities co-chair Michele Kloeppel. “She has great technical knowledge and valuable in-house experience, and shares our total commitment to exceptional client service. We’re thrilled to welcome her to our corporate and tax groups.”
“I’m delighted to join the fantastic team at Thompson Coburn and support my clients from the Firm’s national platform, including a New York office that provides a new depth of services and reach,” said Mariquita. “This is a wonderful next step for me and my practice, and I’m eager to start collaborating with my talented new colleagues across the country.”
Mariquita spent several years as corporate counsel and assistant secretary with DuPont Nutrition & Health and Industrial Biosciences, $6.2 billion division of DuPont. There, she served in a general counsel function to three major business divisions, managing corporate and litigation matters, trade compliance, employment law, and an M&A portfolio with acquisitions, divestitures, joint ventures and stock purchases in excess of $6 billion. Mariquita draws on that in-house experience to provide regulatory counsel to clients on their FDA, USDA and EPA compliance obligations, and represent them on a full range of litigation, corporate, securities, compliance and employment matters. As a Certified Information Privacy Professional (CIPP)*, Mariquita also can assist clients in managing their global privacy, data security and cybersecurity program implementation, including GDPR compliance.
Mariquita represents clients in mergers and acquisitions of all types, including complex commercial transactions involving stock, membership interests, asset purchases and sales and real estate. She has also negotiated and closed tax-free reorganizations of multi-million-dollar corporations.
Mariquita’s M&A experience, combined with her practical experience in tax, allows her to create innovative corporate structures that provide tax efficiencies and benefits throughout the life of a company — from its formation to its successful exit through divestiture or merger.
